Terms of Sale
1. Who we are
These terms are between you (the client) and PT Grand Vision Perspective, NIB 2808230176569, registered in Gianyar, Bali, Indonesia ("GVP", "we"). Full registered details appear on every invoice and are available on request at connect@grandvisionperspective.com.
Contact: connect@grandvisionperspective.com
2. How an order works
- Sending an order request through the website is an offer to buy. It does not take payment.
- We review the request and, if we accept it, send an invoice from PT Grand Vision Perspective with payment details within 24 hours.
- The contract is formed when we issue the invoice. Work starts once payment has been received as set out in section 5.
- If we cannot take on the work, we tell you and nothing is owed.
3. Packages: scope, deliverables and timeline
Operations Audit
- Scope: a fixed-scope review of how the whole operation runs today.
- Deliverables: a written report, a recommended scope, and a fixed price for implementation. You keep the report whether or not you continue with us.
- Timeline: usually a few days to two weeks from receipt of the completed intake questionnaire and the agreed access.
- A mutual NDA is signed before the audit starts.
Focus Audit
- Scope: the audit method applied to one workflow.
- Deliverables: a written report on that workflow.
- Timeline: about five working days from receipt of the agreed access.
Strategic Advisory Block
- Scope: 10 hours of advisory time on roadmaps, priorities, and vendor and tool choices.
- The hours must be used within 60 days of payment. Unused hours expire at day 60 and are not refunded or carried over.
Implementation Oversight
- Quoted at a fixed price from the audit scope, with written milestones. Not available to order online.
- Each project is covered by its own written engagement terms, which take priority over these terms where they differ.
We advise on operations and process design. We do not provide bookkeeping, tax or legal services, which stay with your own advisers.
4. Prices, currency and invoices
- Prices are those shown on the website when you send your order request, including any discount applied in the order, and are confirmed on the invoice. Prices on the website are shown in Indonesian rupiah (IDR). Clients whose business address is outside Indonesia may ask for a written quote that also shows a rounded reference amount in another currency at the Bank Indonesia JISDOR rate for the quote date. The IDR amount is binding and every invoice is issued in IDR. Such a quote forms part of the engagement terms.
- All invoices are issued in IDR by PT Grand Vision Perspective.
- Our prices are final. PT Grand Vision Perspective is not a VAT-registered business (Pengusaha Kena Pajak), so no VAT (PPN) is added to our prices or invoices.
- Payment is by bank transfer to the company's Indonesian bank account stated on the invoice.
- Invoices are stated gross. Indonesian corporate clients may withhold PPh 23 as required by law and should send us the bukti potong (withholding tax slip).
- Bank charges: for clients paying from Indonesia, each party pays its own bank charges, and the invoiced IDR amount should be received in full, less any PPh 23 lawfully withheld. Clients paying from outside Indonesia pay all bank and currency conversion charges (SWIFT instruction "OUR"), so that we receive the invoiced IDR amount in full. PPh 23 does not apply to them.
- Tax in the client's country: if the law of the country of a client paying from outside Indonesia requires tax to be withheld from payments to us, the client grosses up the payment so that we receive the invoiced IDR amount in full. However, if a tax treaty rate applies and we provide a certificate of residence from the Indonesian Directorate General of Taxes, the client withholds at the treaty rate and sends us the official receipt of payment.
5. Payment terms
- Operations Audit, Focus Audit and Strategic Advisory Block: 100% up front. Work starts once payment is received.
- Implementation Oversight projects: 50% on signature, 25% at the midpoint, 25% on handover. Nothing starts before the 50% payment is received.
- Invoices are payable within 7 days. If an invoice is not paid in that time, the order lapses and any offer reserved for it is released.
6. Offers, discounts and credits
Only one offer applies per order. If more than one could apply, the order uses the one that saves you most. Offers have no cash value. We do not show "was" prices or countdowns.
Founding client offer
- Founding client price: IDR 38,250,000 (15% off the standard IDR 45,000,000 audit fee) for our first 3 audit clients or until 31 Dec 2026, whichever comes first. Not combined with other discounts.
- The offer applies to the Operations Audit only. We do not show a countdown or a count of places left.
- Condition: you give written permission for us to publish one anonymised case study about the engagement. Anonymised means no client name, logo, staff names, photos or details that would let a reader identify your business. We send you the draft first and publish only after you approve it in writing. If you do not approve a draft, we do not publish it, and your founding client price still stands. A quote from a named person is used only with that person's own written consent.
- Cannot be combined with any other offer or with the audit credit.
Audit and advisory bundle
- When an Operations Audit and a Strategic Advisory Block are ordered together, the Advisory Block is 10% off. The audit price does not change.
- No more than 2 Advisory Blocks per client per calendar quarter at the bundle price.
- Cannot be combined with any other offer or with the audit credit.
Operations Audit credit
- The full Operations Audit fee is credited against an Implementation Oversight project of IDR 90 million or more, signed within 30 days of report delivery.
- The credit applies once per audit and only to Implementation Oversight projects, not to advisory or monthly services.
- The credit lapses if the project is not signed within 30 days of report delivery, if the project is below the minimum, or if the audit was bought with the founding client offer or the bundle.
Focus Audit credit
- The Focus Audit fee is credited once against an Operations Audit booked within 30 days of Focus Audit delivery. It is never credited against projects, retainers or advisory work.
- The credit lapses if the Operations Audit is not booked within 30 days of Focus Audit delivery.
No percentage discounts apply to projects.
7. [Intentionally left blank.]
8. Cancellation and refunds
- Before work starts (before your intake questionnaire is returned and the audit or first advisory session is scheduled), you may cancel in writing for a full refund, less bank charges.
- Once an audit has started, the fee is not refundable.
- Strategic Advisory Block: hours used are not refundable. Unused hours expire at day 60.
- Implementation Oversight: payments for milestones already reached are not refundable. Cancellation is handled under the project's engagement terms.
- If we cannot deliver what you paid for, we refund the amount paid for the undelivered part in full.
- Refunds are paid in IDR to the account the payment came from, within 14 days of being agreed.
9. Your part
You give us the access, data and staff time agreed in the engagement terms. Delays in providing them extend the timeline.
10. Confidentiality, your materials and included materials
- A mutual NDA is signed before any audit starts.
- Our work is anonymised. We never use client names or logos without written permission.
- You keep the report and may use it inside your business, whether or not you continue with us.
Included materials. Some packages include templates, checklists, workbooks or other working materials ("included materials"). Included materials are supplied only as part of the advisory service in the package you bought and are not sold separately. We keep the copyright and all other rights in them. You may use, copy and adapt them inside your own business, for your own staff and professional advisers, during and after the engagement. You may not sell, sublicense, publish or share them outside your business. Included materials have no separate price and no separate refund; any refund follows the rules for the package in section 8. They are working tools for management use, provided as they are, and are not accounting, tax or legal advice.
11. Liability
Our total liability for any package is limited to the fees paid for that package. We are not liable for indirect or consequential loss, including loss of profit. Decisions to act on our recommendations remain the client's. Nothing in these terms limits liability that cannot be limited under Indonesian law.
12. Governing law and language
- These terms are governed by the laws of the Republic of Indonesia.
- We will try to resolve any dispute in good faith first. If that fails, the dispute goes to the Gianyar District Court (Pengadilan Negeri Gianyar).
- An Indonesian-language version will be published before online ordering in rupiah opens.
- Until the Indonesian version is published, orders from clients based in Indonesia are confirmed offline with bilingual engagement terms.
